BABEL BYTE TERMS OF SERVICE

1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you and Babel Byte ("we," "our," or "us") governing your access to and use of our applications, including Translit and Book Club, and any related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. ELIGIBILITY

Our Services are intended for users ages 9 and older. By using our Services, you represent and warrant that you are at least 9 years old. If you are between the ages of 9 and 18 (or the age of legal majority in your jurisdiction), you represent that your legal guardian has reviewed and agreed to these Terms on your behalf.

3. ACCOUNT REGISTRATION

To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. USER CONTENT

Our Services may allow you to upload, store, or share content, such as eBooks in Book Club ("User Content"). You retain all rights in your User Content, and you are solely responsible for your User Content and the consequences of posting or publishing it.

By uploading User Content to our Services, you grant us a non-exclusive, royalty-free, worldwide license to use, host, store, reproduce, and display your User Content solely for the purpose of providing and improving our Services.

You represent and warrant that:

• You own or have the necessary rights to your User Content and the right to grant the license above.
• Your User Content does not violate the rights of any third party, including copyright, trademark, privacy, or other personal or proprietary rights.

5. PROHIBITED USES

You agree not to use our Services for any purpose that is unlawful or prohibited by these Terms. Prohibited uses include, but are not limited to:

• Using our Services in any manner that could disable, overburden, damage, or impair the Services
• Attempting to gain unauthorized access to our servers or networks
• Using our Services to distribute malware, viruses, or other malicious code
• Uploading or sharing content that infringes intellectual property rights
• Uploading or sharing illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable content
• Impersonating another person or entity
• Using our Services for any commercial purpose without our prior written consent
• Attempting to decompile, reverse engineer, or disassemble any portion of our Services

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Our Intellectual Property

Babel Byte, Translit, and Book Club names and logos are pending trademarks of Babel Byte. All other intellectual property rights in the Services, including but not limited to software, features, graphics, and content, are owned by us or our licensors. These Terms do not grant you any rights to use our trademarks, logos, or other branding.

6.2 Copyright Infringement

If you believe that any content available through our Services infringes your copyright, please notify us with the following information:

• A description of the copyrighted work you claim has been infringed
• A description of where the allegedly infringing material is located
• Your contact information
• A statement by you that you have a good faith belief that the disputed use is not authorized
• A statement, made under penalty of perjury, that the information in your notice is accurate
• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf

7. PURCHASES AND PAYMENTS

All purchases made through our Services are processed through Apple's In-App Purchase system and are subject to Apple's terms and conditions. Refunds and cancellations are handled through Apple's system according to their policies.

8. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BABEL BYTE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE PAST 12 MONTHS.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Babel Byte and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your violation of these Terms
• Your User Content
• Your use of the Services

11. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Sacramento County, California, and you consent to the personal jurisdiction of such courts.

12. CHANGES TO THESE TERMS

We may revise these Terms from time to time. The most current version will always be posted on our website or within our applications. If a revision is material, we will provide notice prior to the new terms taking effect. By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised Terms.

13. SEVERABILITY

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

14. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Babel Byte regarding our Services and supersede all prior agreements and understandings, whether written or oral.
